NextGen Knowledge-Base Acceptable Use Policy
1. These terms of use of the NextGen Knowledge Base
are defined herein. Use of the NextGen Knowledge
Base constitutes acceptance of these legal terms and
conditions. These forums and Knowledge Base data are
intended for discussion of business and technical
issues for the EXCLUSIVE USE OF NextGen Members and
their employees only. The information, Tech Notes
and other related information on the NextGen
Knowledge Base is expressly prohibited from being
disseminated and/or provided to anyone that is not a
NextGen Member or a Member company’s employee.
2. You agree that the information you provide for
your user Login Account for the Knowledge Base will
be accurate and not misleading.
3. In providing its community forums, it is
NextGen's intention to maintain an informative and
valuable service that meets the needs of its users
and is free from verbal abuse, violations of privacy
and other harmful activities. NextGen prohibits
posting of threatening, libelous, defamatory,
obscene, pornographic, or other material that would
violate any law. You agree not to post any
information that may infringe upon or violate any
third party's intellectual property rights,
including, without limitation, copyright, patent,
trademark, trade secret, moral right, proprietary
rights or rights of publicity or privacy, or contain
obscenity, pornography or be otherwise inflammatory,
or which contains any viruses, Trojan horses, worms,
time bombs, cancelbots or other computer programming
routines that are intended to damage, detrimentally
interfere with, surreptitiously intercept or
expropriate any system, data or personal
information, or which is materially false,
misleading or inaccurate. These forums are not to be
used as a solicitation for business.
4. We welcome your participation in our online
communities. However, in so participating, please be
aware that you are solely responsible for your
content or other information you distribute, post,
include, [link to] or otherwise upload to the
Knowledge Base. You agree that NextGen is only
acting as a venue and that NextGen has no liability
related to the content of any forum posting or any
other user-created content on its Knowledge Base,
whether or not arising under the laws of copyright,
libel, privacy, obscenity, or otherwise. By its very
nature, the information available in these forums is
changed frequently, may be offensive, harmful or
inaccurate and in some cases may be mislabeled or
deceptively labeled. We do not make any
representation or warranty, express or implied, as
to the accuracy, timeliness or completeness of such
information nor do we undertake to update or correct
such information. We recommend that you confirm all

5. Messages posted to open forums are not
pre-screened. NextGen, or a third party organization
whom NextGen may appoint to moderate a particular
forum, each reserves the right, although it does not
have the obligation, to monitor content throughout
the Knowledge Base (or a specific forum, as
applicable) and to remove any content which NextGen
or such third party organization, in its sole
discretion, determines to be harmful, offensive,
defamatory, libelous, illegally threatening or
harassing or which contains obscenity, pornography
or is otherwise inflammatory; which may create
liability for NextGen; or is unrelated to the
intention of the community or otherwise in violation
of NextGen's policies of acceptable use.
6. You should assume that everything hosted on this
Knowledge Base is the intellectual property of
NextGen and our members. All rights to this
information are reserved. All reproduction, total or
partial, of the contents of this Knowledge Base by
any means whatsoever and without the written consent
of NextGen is illegal.
7. NextGen and our members provide this Knowledge
Base "as is." WE AND OUR MEMBERS DISCLAIM ALL
WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED,
INCLUDING WITHOUT LIMITATION, THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE
CONTINUOUS OR UNINTERRUPTED ACCESS TO THE KNOWLEDGE
BASE OR ANY FORUM AND MAKE NO WARRANTY AS TO THE
OPERATION, FUNCTIONALITY, OR AVAILABILITY OF THE
KNOWLEDGE BASE, OR THAT THE KNOWLEDGE BASE WILL BE
ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
8. These terms of use shall be governed in all
respects by the laws of the State of Ohio as such
laws are applied to agreements entered into and to
be performed entirely within Ohio. Any action or
proceeding arising from or relating to these terms
and conditions must be brought in a federal court in
the Federal Southern District Court, Eastern
Division, and you irrevocably submit to the
jurisdiction and venue of any such court in any such
action or proceeding. If any provision of these
terms of use is held to be invalid or unenforceable,
such provision shall be struck and the remaining
provisions shall be enforced. Our failure to act
with respect to a breach by you or others does not
waive our right to act with respect to subsequent or
similar breaches. These terms of use may be amended
or changed by us at our discretion. You agree that
your continued use of this Knowledge Base after such
amendment or change shall signify your acceptance of
any such change.

irrevocable, royalty-free, sublicenseable (through
multiple tiers) right to exercise all copyright and
publicity rights, in any media now known or not
currently known, with respect to any content you
provide to us in any public space on this Knowledge
Base or in any e-mail that you voluntarily provide
to us through this Knowledge Base.
11. We will treat any feedback or suggestions you
provide us as non-confidential and non-proprietary.
Thus, please do not submit confidential or
proprietary information to us unless we have
mutually agreed in writing otherwise.
